Might sound daft, but try a fresh set of good quality batteries.
As you have posted on the 360 forum I take it is a 360 remote to are trying to pair to a 360 box.
Trying a new set of batteries as already mentioned is always a good place to start.
If that doesn't work then try puttting the box into 'Pairing Mode' by pressing the Standby/On button on the front of the box for 10 seconds. On the remote control, press and hold the 'TV' button and the '0' button together for 10 seconds. A message should appear on the screen confirming that pairing was successful.
